Circle Club Terms of Service

1.1 Welcome to Circle Club Social Limited ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our platform available at https://www.circleclub.network and any associated services (together, the "Platform").

1.2 By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must not use the Platform.

2.1 Circle Club Social Limited is a company registered in England and Wales under company number 16363701, with its registered office at 8a The Downs, Altrincham, WA14 2PU.

3.1 You must be at least 18 years old to use the Platform. By using the Platform, you confirm that you are 18 years or older and have full legal capacity to enter into a contract.

4.1 Users

4.1.1 There are two types of users:

4.1.2 Agents: Users representing or managing talent (influencers)

4.1.3 Influencers: Users whose social media presence is being managed or promoted

4.2 Registration

4.2.1 To access the Platform, users must register and create an account. You agree to provide accurate and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials.

4.3 Account Termination

4.3.1 You may delete your account at any time via your account settings. We may suspend or terminate your account in cases of misuse, breach of these Terms, or unlawful behaviour. Such action will only be taken in extreme cases. We log IP addresses and may investigate abuse.

5.1 You agree not to use the Platform:

• 5.1.1 For any unlawful purpose
• 5.1.2 To impersonate any person or entity
• 5.1.3 To post or upload harmful, offensive, or infringing content
• 5.1.4 To attempt to disrupt or hack our systems

5.1.5 We reserve the right to remove any content we believe breaches these Terms.

6.1 Paid Services

6.1.1 Only Agent accounts are billed for use of the Platform. Fees are based on the number of active agents and influencers within the organisation.

6.2 Payment Processor

6.2.1 Payments are handled securely via Stripe. By using our paid services, you agree to Stripe's terms and privacy policy: https://stripe.com/gb/privacy.

6.3 Refund Policy

6.3.1 We do not offer refunds except where required by law. If you believe a refund is due, contact us at [email protected].

7.1 User Content

7.1.1 Users may upload or connect the following types of content:

• 7.1.1.1 Profile images
• 7.1.1.2 Social media content via connected TikTok and Instagram accounts
• 7.1.1.3 Business logos (for brands or agents)

7.1.2 You retain ownership of any content you upload or connect to the Platform. By submitting content, you grant us a non-exclusive, royalty-free licence to use, display, and host it solely for the purpose of operating and improving the Platform.

8.1 All intellectual property rights in the Platform and its content (excluding user content) are owned by or licensed to Circle Club Social Limited. You may not reproduce, distribute, or create derivative works without our written permission.

9.1 The Platform is currently in beta and provided on an "as is" basis. We do not guarantee uninterrupted access or availability. While we aim to maintain reliable service, downtime may occur.

9.2 To the extent permitted by law, we disclaim all warranties and representations regarding the Platform.

10.1 To the extent permitted by law, Circle Club Social Limited shall not be liable for:

• 10.1.1 Any indirect, incidental, or consequential damages
• 10.1.2 Loss of profits, data, or business opportunities
• 10.1.3 Errors, outages, or technical issues with the Platform

10.1.4 Our total liability for any claim shall not exceed the amount paid by you to us in the 12 months prior to the claim.

11.1 We collect and process personal data in accordance with our Privacy Policy, which is available at: https://www.circleclub.network/privacy

12.1 We may update these Terms from time to time. We will notify users by email or via the Platform. Continued use of the Platform after such changes constitutes your acceptance of the new Terms.

13.1 These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
